AI Consulting Services
Please read these Terms and Conditions carefully before purchasing or using any services from The Everyday Ops. By purchasing, booking, or using any of our services, you confirm that you have read, understood, and agreed to these terms in full. If you do not agree, please do not purchase or use our services.
1. Agreement to terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and The Everyday Ops ("The Everyday Ops," "we," "us," or "our"), governing your access to and use of our website located at everydayops.com and all services we provide.
These Terms apply to all visitors, clients, and anyone who accesses or uses our services, including our audit sessions, training, coaching, automation sprints, custom AI builds, and any other offerings described on our website or in any proposal or agreement.
By proceeding with a purchase or engagement, you represent that you are at least 18 years of age, have the legal authority to enter into this agreement, and are purchasing on behalf of yourself or an entity you are authorized to represent.
2. Our services
The Everyday Ops provides AI consulting and implementation services for small businesses and organizations. Our services include, but are not limited to:

AI Foundations Training — workshops for individuals and teams

The specific scope, deliverables, timeline, and pricing for each service will be described at the point of purchase or in a written proposal or service agreement provided to you before work begins. In the event of any conflict between a written proposal and these Terms, the written proposal governs for that specific engagement only.
We reserve the right to modify, discontinue, or update any service at any time without prior notice, provided that any service already purchased will be honored under the terms at the time of purchase.
3. Purchasing & payment
Payment
All fees for services are due at the time of purchase unless otherwise agreed in writing. We accept payment via the methods listed at checkout. Prices are listed in US dollars and are subject to change without notice, except for purchases already completed.
Installment plans
Where an installment payment plan is offered, you authorize us to charge each installment on the agreed schedule. If any installment payment fails, we reserve the right to pause work until payment is received and to charge any applicable late fees. Failure to complete an installment plan does not entitle you to a refund for amounts already paid.
Invoices & receipts
A receipt or invoice will be provided upon payment. It is your responsibility to retain this for your records. If you require a specific invoice format for accounting purposes, please let us know before purchasing.
Taxes
You are responsible for any applicable taxes, duties, or government fees associated with your purchase. Everyday Ops will collect sales tax where required by law.
4. No refunds — all sales final
All sales are final. We do not offer refunds, exchanges, or credits of any kind, for any reason, once a purchase has been made.
This policy exists because:

Work on your engagement begins immediately upon receipt of payment

All deliverables are digital in nature and cannot be returned

Our services involve the irreversible investment of our time, expertise, and resources
By completing a purchase, you explicitly acknowledge and agree that no refund will be issued under any circumstances, including dissatisfaction with results, change of mind, or inability to use the service.

5. Deliverables & timelines
Scope of work
The deliverables for your service are those described at the point of purchase or in your written proposal. Any requests for work outside the agreed scope will be treated as a new engagement and quoted separately.
Timelines
We provide estimated timelines in good faith. These are not guarantees. Delays caused by your failure to provide required information, access, feedback, or approvals may extend your delivery timeline. We are not liable for delays resulting from circumstances outside our reasonable control.
Client cooperation
Timely delivery of your service depends on your active participation. You agree to respond to requests for information or feedback within 5 business days. Failure to do so may result in delays or, in the case of extended non-response (30+ days), suspension of your engagement without refund.
Revisions
Unless otherwise specified in your service agreement, deliverables include one round of revisions based on feedback that falls within the original scope. Additional revision rounds are available at our standard hourly rate.
6. Client responsibilities
To allow us to deliver your service effectively, you agree to:

Provide accurate, complete, and timely information about your business when requested

Grant access to any platforms, tools, or accounts necessary to complete the work, where applicable

Designate a single point of contact for your engagement to avoid conflicting instructions

Review and provide feedback on deliverables within the agreed timeframe

Ensure that any materials or content you provide to us do not infringe upon the intellectual property rights of any third party

Use all deliverables and AI tools in compliance with applicable laws and the terms of service of any third-party platforms involved
You represent and warrant that all information you provide to us is accurate to the best of your knowledge and that you have the authority to share it with us for the purposes of your engagement.
7. Intellectual property
Our materials
All content, frameworks, methodologies, templates, training materials, prompt libraries, and audit processes created by The Everyday Ops ("Our Materials") are and remain the intellectual property of Everyday Ops LLC. These are protected by copyright, trade secret, and other applicable laws.
Your deliverables
Upon receipt of full payment for your engagement, Everyday Ops grants you a non-exclusive, non-transferable license to use the deliverables created specifically for your business for your internal business purposes. You may not resell, sublicense, or represent deliverables as your own original work to third parties.
Our underlying IP
Even where deliverables are customized for your business, Everyday Ops retains all rights to the underlying frameworks, methodologies, prompt structures, and processes used to create them. We reserve the right to use generalized learnings from our work with clients to improve our services, provided we do not disclose any of your confidential business information in doing so.
Your content
Any content, materials, or data you provide to us remains your property. You grant us a limited license to use it solely for the purpose of delivering your engagement.
Portfolio & testimonials
Unless you request otherwise in writing, we reserve the right to reference your business as a client (by name or industry) in our marketing materials, case studies, or portfolio. We will never disclose the contents of your audit report or confidential business information without your explicit written consent.
8. Confidentiality
We treat all information you share with us during your engagement as confidential. We will not disclose your business information, audit findings, financial details, or strategic plans to any third party without your written consent, except as required by law or as necessary to deliver your service (e.g., sharing relevant details with a subcontractor who is bound by equivalent confidentiality obligations).
In return, you agree to keep confidential any proprietary frameworks, processes, pricing, or methodologies we share with you during your engagement. You may not share, copy, or distribute our proprietary materials — including audit frameworks, prompt libraries, or training content — to third parties without our written permission.
Confidentiality obligations survive the termination of your engagement and remain in effect indefinitely for trade secrets and for a period of two (2) years for other confidential information.
9. Use of AI tools
Everyday Ops uses artificial intelligence tools as part of our service delivery, including tools such as Claude (Anthropic), ChatGPT (OpenAI), Google Gemini, NotebookLM, and others. By engaging our services, you acknowledge and agree to the following:

AI tools may be used to assist in drafting reports, generating recommendations, building automations, or creating deliverables

AI-generated content is reviewed, curated, and refined by our team before delivery — we do not deliver raw AI output as a finished product

The use of AI tools does not diminish the value, expertise, or professional judgment applied to your engagement

AI tool outputs are subject to the terms and privacy policies of the respective platforms; we will inform you of any tools used that require sharing your business data

Results from AI tools, including custom AI systems we build for you, are not guaranteed — AI outputs can be unpredictable, and you are responsible for reviewing and validating any AI-generated content before using it in your business
We do not use your confidential business information to train AI models. We do not share personally identifiable client information with AI platforms without your knowledge.
10. Results disclaimer
The Everyday Ops provides consulting, education, and implementation services. We do not guarantee specific business outcomes, revenue increases, follower growth, search rankings, lead generation results, or any other performance metric as a result of our services.
The effectiveness of AI tools and the strategies we recommend depends on many factors outside our control, including your industry, market conditions, your team's implementation effort, platform algorithm changes, and more.
Our job is to give you the best possible roadmap and tools. Your results depend on how consistently and effectively you implement them. We are a consulting and implementation partner — not a guarantor of outcomes.
Any examples, case studies, testimonials, or projections shared in our marketing materials are illustrative and not a guarantee that you will achieve similar results.
11. Limitation of liability
To the fullest extent permitted by applicable law, The Everyday Ops, its founders, employees, contractors, and affiliates shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to your use of our services or deliverables, even if we have been advised of the possibility of such damages.
This includes, without limitation, damages for:

Loss of revenue, profits, or business opportunities

Loss of data or system failures

Errors or inaccuracies in AI-generated content

Actions taken by you based on our recommendations

Third-party platform changes that affect the effectiveness of our work
In all cases, our total liability to you for any claim arising from our services shall not exceed the total amount you paid to TheEveryday Ops for the specific service giving rise to the claim in the three (3) months preceding the claim.
Some jurisdictions do not allow the exclusion or limitation of certain damages. If these laws apply to you, some of the above limitations may not apply.
12. Termination
Termination by you
You may terminate an ongoing engagement (such as a Monthly Ops Coaching or Ops Maintenance Retainer) by providing 30 days written notice to theeverydayops@gmail.com. Fees already paid are non-refundable. Any work completed up to the termination date will be delivered; work not yet started at the time of notice will not be billed for future periods, subject to any minimum term commitments outlined in your service agreement.
Termination by us
We reserve the right to terminate or suspend your engagement immediately and without refund if you:

Violate any provision of these Terms

Provide false or misleading information material to your engagement

Engage in abusive, threatening, or harassing behavior toward our team

Fail to make a required payment

Initiate a chargeback in bad faith
Effect of termination
Upon termination, your license to use any deliverables already provided remains in effect unless terminated for cause. Confidentiality and intellectual property obligations survive termination indefinitely.
13. Governing law & disputes
These Terms are governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law principles. Any disputes arising from these Terms or your engagement with Everyday Ops shall be subject to the exclusive jurisdiction of the state and federal courts located in Missouri.
Informal resolution first
Before filing any formal legal action, you agree to contact us at theverydayops@gmail.com and give us 30 days to attempt to resolve the dispute informally. We take concerns seriously and will respond in good faith.
Waiver of class action
You agree that any dispute with Everyday Ops will be resolved on an individual basis only. You waive any right to bring or participate in a class action lawsuit or class-wide arbitration against Everyday Ops.
14. Changes to these terms
We reserve the right to update or modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page. For active clients with ongoing engagements, we will provide at least 14 days' notice of material changes via email.
Your continued use of our services after any changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must notify us and discontinue use of our services.
